Bu çalışmada kurumsal yönetim uygulamalarının zorunluluk ya da isteğe bağlı olması hallerinde, işletmelerin pozitif ve negatif özgürlüklerinin nasıl değişeceği tartışılmıştır. Pozitif ve negatif özgürlük kavramları Isaiah Berlin tarafından, özgürlüğe yönelik farklı bakış açıları olarak ortaya konmuştur. Berlin, kavramları açıklarken kendi hayat görüşüne bağlı olarak negatif özgürlüğün daha önemli olduğunu savunmuştur. Ancak bu çalışmada herhangi bir özgürlük çeşidi üstün tutulmamış, kurumsal yönetim ilkelerinin zorunluluk ya da tavsiye niteliğinde olmaları karşısında özgürlüklerin nasıl değişecekleri irdelenmiştir. Özgürlükler açısından, kurumsal yönetim uygulamalarının yasal bir zorunluluktan ziyade işletme kültürünün ayrılmaz bir parçası olarak benimsetilmesinin optimal bir çözüm olacağı sonucuna ulaşılmıştır.
In this study, it is discussed how the positive and negative freedoms of enterprises will change whether the practice of corporate governance practices are mandatory or optional. The concepts of positive and negative freedom were introduced by Isaiah Berlin, as different perspectives on freedom. Berlin, while explaining concepts, has argued that negative freedom is more important. However, in this study, no type of freedom has been prevailed, and how each of them will change in the face of corporate governance practices are mandatory or optional are examined. From the perspective of freedoms, the adoption of corporate governance practices as an integral part of the enterprise culture rather than a legal requirement has been reached as an optimal solution.
